Buyer agrees to indemnify, defend, and hold Seller harmless from and against all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with Buyer's purchase, use, or resale of the products.

5. Compliance with Laws

Buyer agrees to comply with all applicable federal, state, and local laws and regulations, including but not limited to, those related to the purchase, sale, use, and distribution of the products.

6. Governing Law and Dispute Resolution

All contracts shall be governed in all respects, including validity, construction, interpretation and effect, by the laws of the State of Texas, without giving effect to its principles of rules of conflict of laws to the extent such principles or rules require or permit the application of the laws of another jurisdiction. The Parties agree that they will not bring any action, suit or proceeding arising out of or relating to this Contract in any forum other than the state courts located in Harris County, Texas.

If legal action is necessary to enforce the terms of this Contract the party prevailing in any suit or legal action shall be entitled to reasonable attorneys fees in addition to any other remedies to which that party might be legally entitled.
